FusionHome AI – Seller Agreement

This Seller Agreement (“Agreement”) is made between Fusion Marketplace (“Fusion”, “we”, “our”, “Platform”) and the entity or individual registering as a seller (“Seller”, “you”). By creating a Seller account or uploading any product to FusionHome AI, you agree to be bound by this Agreement.
1. ROLE OF THE PLATFORM
Fusion operates as an online marketplace that provides listing, payment facilitation, logistics coordination, communication tools, and dispute-resolution support. Fusion does not manufacture, own, sell, import, distribute, or control any products listed on the Platform.
Nothing in this Agreement shall be construed as creating a seller–buyer contract between Fusion and the customer.
The sales contract exists solely between Seller and Buyer.
Fusion’s involvement in payments, logistics, or dispute coordination is administrative in nature and does not assign legal responsibility to Fusion for any product-related issue.
2. SELLER ACCOUNT & ELIGIBILITY
You represent and warrant that:
- you have full legal capacity and all necessary licenses/permits to sell your products,
- all information provided to Fusion is accurate and complete,
- you will maintain the confidentiality of your login credentials,
- you are responsible for all activities under your account, whether authorized or not.
Fusion may suspend or terminate Seller accounts for violations of this Agreement or applicable laws.
3. PRODUCT LISTINGS & CONTENT STANDARDS
Fusion may, at the Seller’s request, assist in uploading or formatting product information, images, descriptions, or specifications to the Platform. Such assistance is provided solely for administrative convenience and does not constitute Fusion’s verification, approval, endorsement, modification, or validation of the content.
The Seller acknowledges and agrees that:
- all product content—whether uploaded directly by the Seller or uploaded by Fusion on the Seller’s behalf—remains solely the Seller’s responsibility, and
- the Seller bears full liability for the accuracy, legality, authenticity, safety, and intellectual property compliance of all such content.
Fusion shall not be held liable for any claim, dispute, loss, infringement, penalty, or damage arising out of or relating to content uploaded on behalf of the Seller.
4. INTELLECTUAL PROPERTY & PROHIBITED CONTENT
Seller is fully responsible for ensuring that:
- products do not violate trademark, copyright, patent, or industrial design rights;
- listings do not resemble or reproduce branded designs;
- wording such as “replica”, “high copy”, “OEM”, “inspired by”, “same manufacturer as [brand]” is prohibited;
- Seller holds full rights to all uploaded photos, designs, and content.
If Fusion receives a complaint, Fusion may immediately remove listings or suspend the Seller account pending investigation.
5. PRICING, ORDERS & CONTRACTUAL RELATIONSHIP
Seller is solely responsible for
- determining product prices,
- fulfilling orders,
- ensuring timely delivery,
- issuing warranties,
- providing after-sales service,
- complying with consumer protection laws.
Fusion does not guarantee order volumes and does not control Seller pricing.
A sale is considered concluded when the Buyer confirms the order through the Platform.
6. PAYMENT STRUCTURE (ESCROW-STYLE MODEL)
Fusion may collect payments from Buyers on Seller’s behalf through its payment service providers. Funds will be released to the Seller after:
- successful delivery,
- buyer confirmation,
- expiry of buyer protection period, or
- resolution of disputes.
Fusion is not a bank and is not providing financial services; payment handling is part of the Platform’s facilitation role.
Fusion may withhold payments if:
- products are under investigation,
- Buyer disputes are unresolved,
- IP infringement complaints have been filed,
- Seller violates Platform policies.
7. LOGISTICS & DELIVERY
Seller is responsible for delivering products to Buyers within the promised timeframe.
Fusion may offer logistics tools, carrier integrations, warehouse services, or tracking support, but such assistance does not make Fusion responsible for:
- damage to goods,
- delays,
- loss,
- import/export conditions.
Seller is responsible for packaging, compliance with customs standards, and accuracy of declared information.
8. RETURNS, REFUNDS & DISPUTE MANAGEMENT
Fusion may facilitate a dispute resolution process between Buyers and Sellers. Seller agrees to cooperate fully and respond promptly to inquiries.
Seller is responsible for:
- approving valid return/refund requests
- bearing costs of defective or misrepresented products,
- complying with the Platform’s Return & Refund Policy.
Fusion’s involvement does not make Fusion liable for product issues.
Failure to cooperate may result in:
- refunds issued on Seller’s behalf,
- payment withholding,
- account suspension.
9. SELLER OBLIGATIONS & LEGAL COMPLIANCE
Seller agrees to:
- follow all laws in the destination countries,
- comply with safety standards,
- ensure all claims about materials, specifications, and origin are true,
- not engage in fraud, price manipulation, or misleading practices,
- not attempt to bypass the Platform by directing buyers outside Fusion.
Forgery, IP violations, and unsafe products may result in immediate termination.
10. INDEMNITY
Seller shall fully indemnify Fusion, its affiliates, directors, employees, and agents against all claims, damages, losses, complaints, penalties, and legal costs arising from:
- product defects or injuries,
- inaccurate or misleading product information,
- intellectual property infringement,
- regulatory or customs violations,
- disputes with Buyers,
- breach of this Agreement.
11. DATA PRIVACY & COMMUNICATION
Fusion may process Seller and Buyer data in accordance with applicable privacy laws. Seller may only use Buyer data:
- or order fulfillment,
- for after-sales service,
- in compliance with data protection laws.
Seller is prohibited from storing, selling, or misusing Buyer data.
12. ACCOUNT SUSPENSION & TERMINATION
Fusion may suspend or terminate Seller accounts for:
- repeated disputes,
- high cancellation/return rates,
- IP infringement complaints,
- unsafe or illegal products,
- violation of this Agreement,
- attempts to manipulate the Platform.
Fusion may also remove listings at its discretion.
13. PLATFORM AUTHORITY
Fusion may update policies, adjust fees, change logistics partners, or modify Platform features at any time. Sellers will be notified of material changes.
Continued use constitutes acceptance of updates.
14. GOVERNING LAW
This Agreement is governed by the laws of Singapore.
Disputes shall be handled exclusively by the courts of Singapore.
15. ACCEPTANCE
By uploading products or using FusionHome AI as a Seller, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.
