FusionHome AI – Platform Terms of Service

These Terms of Service (“Terms”) govern the use of the Fusion Marketplace platform (“Fusion”, “Platform”). By accessing, browsing, or uploading any content to the Platform, users agree to be bound by these Terms. If a user does not agree, the user must discontinue use of the Platform immediately.

1. Nature of the Platform

FusionHome AI operates solely as an online technology platform that enables independent third-party suppliers to display, list, and offer their products to potential buyers. Fusion is not the manufacturer, producer, seller, distributor, agent, or representative of any product displayed on the Platform. Fusion does not own, possess, or control any inventory, nor does it participate in the creation, manufacturing, sourcing, or quality assurance of any product.

All transactions, obligations, and contractual relationships arise solely between suppliers and buyers. Fusion does not enter into any sale or purchase contract with buyers, and does not assume any obligations arising from such transactions.

2. Third-Party Content and Supplier Responsibility

All product information and materials—including descriptions, photographs, pricing, specifications, and claims—are uploaded and provided entirely by third-party suppliers. Fusion does not review, verify, or guarantee the accuracy, completeness, lawfulness, or reliability of such information.

Each supplier bears full and exclusive responsibility for ensuring that its uploaded content is truthful, accurate, non-misleading, and compliant with all applicable laws, regulations, and industry standards. Fusion bears no responsibility for errors, omissions, misstatements, or unlawful content originating from suppliers.

3. Intellectual Property Compliance

Suppliers are solely responsible for ensuring that their products, photographs, descriptions, designs, and any other submitted materials do not infringe upon the intellectual property rights of any third party, including trademarks, copyrights, design rights, industrial designs, patents, and proprietary trade dress.

Fusion does not authorize, endorse, or permit the listing of counterfeit goods, replicas, imitations, or products described or marketed as being “similar to,” “inspired by,” “replica of,” or otherwise associated with any third-party brand. Suppliers must not reference or imply any relationship with branded goods or well-known manufacturers, nor may they upload images or descriptions that resemble or reproduce brand catalogues, advertisements, or proprietary designs.

Fusion reserves the sole discretion to remove any content suspected of violating intellectual property rights, whether or not a formal complaint has been filed.

4. Disclaimer of Liability

Fusion provides the Platform on an “as is” and “as available” basis, without warranties of any kind. Fusion expressly disclaims all liability relating to product quality, performance, safety, accuracy, durability, availability, legality, or suitability for any purpose.

Fusion shall not be held responsible for any loss, damage, dispute, injury, defect, delay, fraud, misrepresentation, or dissatisfaction arising from products listed by suppliers or from transactions conducted between suppliers and buyers.

Buyers acknowledge that all risks relating to purchases are assumed solely by the buyer and the supplier.

5. Indemnification

Suppliers agree to fully indemnify, defend, and hold harmless Fusion, its affiliates, employees, and officers from any complaints, disputes, claims, liabilities, damages, penalties, legal costs, or expenses arising from:

• Intellectual property infringement
• Inaccurate or misleading product information
• Breach of applicable laws or regulations
• Product defects, safety issues, or injuries
• Customer disputes or claims
• Any breach of these Terms

This indemnification obligation survives the supplier’s termination, removal, or discontinuation of use of the Platform.

6. Suspension and Removal

Fusion may, without prior notice, remove any listing or suspend any supplier’s access to the Platform if Fusion considers, at its sole discretion, that the supplier has violated these Terms, uploaded unlawful or infringing content, engaged in fraudulent behavior, or otherwise jeopardized the safety, integrity, or reputation of the Platform.

Fusion is not required to provide justification or compensation for such actions.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising in connection with the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Singapore.

8. Acceptance

By using the Platform in any manner, users acknowledge that they have read, understood, and agreed to be bound by these Terms.
